1. Introduction
These Terms of Service ("Terms") govern your access to and use of the website and platform operated by Alt Assets Manager, LLC ("we", "us", "our"), accessible at alts.co (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Eligibility
The Platform is intended solely for persons who qualify as accredited investors as defined under Rule 501 of Regulation D of the U.S. Securities Act of 1933, as amended. By accessing the Platform, you represent that you meet or reasonably believe you meet one or more of the accredited investor criteria.
You must be at least 18 years of age and legally capable of entering into binding agreements in your jurisdiction.
3. Account registration and access
To access certain features of the Platform, you may be required to complete a qualification form, execute a non-disclosure agreement, and verify your identity and accreditation status.
You agree to provide accurate, current, and complete information during the registration and qualification process. You are responsible for maintaining the confidentiality of any access credentials, including one-time passwords sent to your registered email address.
You agree to notify us immediately if you become aware of any unauthorised use of your account.
4. Nature of the Platform
The Platform provides information about co-investment opportunities in film bridge lending and related asset-backed lending programmes. The Platform is not a broker-dealer, investment adviser, funding portal, or securities exchange. Nothing on the Platform constitutes an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such offer or solicitation would be unlawful.
Any securities offered through the Platform are offered exclusively under SEC Rule 506(c) of Regulation D and are available only to verified accredited investors. All investments involve risk, including the potential loss of principal.
5. Confidentiality
Certain materials on the Platform, including but not limited to deal memoranda, term sheets, collateral analyses, and financial projections, are confidential and proprietary. Access to these materials is conditioned on your execution of a non-disclosure agreement.
You agree not to reproduce, distribute, or disclose any confidential materials to any third party without our prior written consent.
6. No investment advice
The information provided on the Platform is for informational purposes only and does not constitute investment, financial, tax, or legal advice. We do not make any recommendation regarding the suitability of any investment for any particular investor.
You should consult your own financial, legal, and tax advisers before making any investment decision.
7. Forward-looking statements
Materials on the Platform may contain forward-looking statements, projections, and estimates. These statements are based on assumptions and are subject to risks, uncertainties, and changes in circumstances. Actual results may differ materially from those expressed or implied. Past performance is not indicative of future results.
8. Intellectual property
All content on the Platform, including text, graphics, logos, images, and software, is the property of Alt Assets Manager, LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any content on the Platform without our prior written consent.
9. Prohibited conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Misrepresent your identity, accreditation status, or eligibility.
- Attempt to gain unauthorised access to any portion of the Platform or its systems.
- Use automated tools, bots, or scrapers to access or collect data from the Platform.
- Interfere with or disrupt the operation of the Platform.
10. Third-party services
The Platform may use third-party services for form collection, electronic signatures, email delivery, and data storage. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of any third-party services.
11. Disclaimer of warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any information provided is accurate, complete, or current.
12. Limitation of liability
To the fullest extent permitted by applicable law, Alt Assets Manager, LLC and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your access to or use of the Platform.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you have paid to us, if any, in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Alt Assets Manager, LLC and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
14. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its rules, conducted in New York, New York. The arbitrator's award shall be final and binding.
15. Modifications
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire agreement
These Terms, together with any applicable non-disclosure agreement and subscription documents, constitute the entire agreement between you and Alt Assets Manager, LLC regarding your use of the Platform.
18. SMS messaging program
By providing your mobile phone number and opting in through the Settings page of your account, you consent to receive SMS text messages from Film Bridge Lending relating to account notifications, agreement-signature reminders, deal notifications, and investment and distribution updates. SMS is never used to log in or authenticate your identity. Message frequency varies. Message and data rates may apply. Consent to receive SMS messages is not a condition of accessing the Platform, opening an account, making an investment, or completing any transaction. You may opt out of non-transactional SMS messages at any time by replying STOP to any message or by updating your notification preferences on your account Settings page. To re-subscribe, reply START.
